TERM
The minimum term of this Agreement is three (3) months, after which it will automatically transition to a month-to-month lease. Either party may terminate the Agreement by providing thirty (30) days’ written notice to the other party. Lessee may terminate the rental at any time; however, pick-up requests require 4–7 business days to process. The rental amount will not be prorated, and Lessee must pay the full month’s rent, regardless of the termination date.
DELIVERY AND RETURN OF EQUIPMENT
a. By accepting delivery, Lessee acknowledges receipt of the equipment in good condition. Lessee agrees to return the equipment to STG Freight Services Inc. in the same condition, normal wear and tear excepted. Any defects or damages must be reported to the Company upon delivery. Changes caused by neglect or lack of maintenance will not be considered normal wear and tear.
b. Unless otherwise agreed, STG Freight Services Inc. or its designated agents will deliver the equipment to the location specified in the original Agreement. Lessee must ensure the delivery site is clear and accessible.
c. LESSEE SHALL NOT MOVE OR RELOCATE THE EQUIPMENT after delivery without prior written consent from STG Freight Services Inc. Unauthorized movement or loss of equipment will result in Lessee being charged the full replacement cost. Only STG Freight Services Inc. or its agents may transport or move the equipment. Any handling, drayage, or associated charges will be invoiced to the Lessee.
d. Lessee must return the equipment empty, clean, and in good condition, suitable for immediate reuse. If Lessee fails to clean or remove property from the equipment, STG Freight Services Inc. may do so at Lessee’s risk and expense. Additional costs for cleaning, removal, or storage will be billed to the Lessee.
RENTAL AND OTHER CHARGES
a. Lessee agrees to pay rental charges as specified in the original Agreement and all applicable taxes. Taxes are only applicable for deliveries within jurisdictions requiring such collection; otherwise, Lessee assumes responsibility for compliance with local tax laws.
b. All payments will be processed automatically using the credit or debit card provided by Lessee during order placement. Lessee may update payment details through the Company’s website. Late payments will incur interest starting 30 days after the due date, at a rate of 1.5% + $45 per month or the maximum allowable by law. Non-payment due to insufficient funds or partial payments will be treated as a default.
USE OF THE EQUIPMENT
a. Lessee acknowledges receipt of the equipment in satisfactory condition and waives any claims regarding warranties, including implied warranties of merchantability or fitness for purpose.
b. STG Freight Services Inc. reserves the right to place its name and logo on the equipment. Lessee may not remove or modify these markings without prior written consent.
c. Lessee must not store hazardous, corrosive, contaminating, or radioactive materials in the equipment. If such use is discovered, Lessee will be required to purchase the equipment at 100% of its replacement value.d. STG Freight Services Inc. is not liable for losses or damages to items stored in the equipment. Lessee indemnifies the Company against any claims, including loss of profits or other consequential damages, arising from use of the equipment.
REPAIR AND MAINTENANCE
a. Maintenance – Upon notification from Lessee of any changes in the condition of the equipment that STG Freight Services Inc., at its sole discretion, determines were caused by normal wear and tear, STG Freight Services Inc. will arrange for necessary repairs and maintenance to be completed by an approved repair facility. Lessee shall ensure reasonable access to the equipment for STG Freight Services Inc. or its agents and must remove all property from the equipment prior to any service or repair work. STG Freight Services Inc. shall not be liable for any damage to Lessee’s property resulting from changes in the condition of the equipment or during repair and maintenance activities.
b. Damage – If the equipment is damaged by causes other than normal wear and tear, STG Freight Services Inc. reserves the right to inspect the equipment and provide Lessee with an estimate of repair costs, as determined by an approved repair facility. Lessee agrees to promptly pay the estimated repair costs upon receipt of notice. At the sole discretion of STG Freight Services Inc., the Company may either hold the payment without performing repairs or proceed with the repairs using the collected amount. If the actual repair costs exceed the estimate, Lessee agrees to pay the difference upon receipt of the final invoice.
c. Loss or Total Damage – If the equipment is lost, destroyed, or damaged beyond repair (as determined solely by STG Freight Services Inc.), the Company will issue an invoice to the Lessee for the full Replacement Value of the equipment. Rental charges will continue until STG Freight Services Inc. receives full payment for the Replacement Value of the equipment.
PREMISES
a. Access Rights – STG Freight Services Inc. or its agents may enter Lessee’s property at reasonable times to deliver, inspect, maintain, relocate, or recover the equipment. Lessee shall indemnify the Company against any loss or cost resulting from failure to provide access.
b. Site Suitability – Lessee warrants that the delivery site is suitable and accessible for delivery vehicles and equipment placement. Lessee releases and agrees to hold STG Freight Services Inc. harmless from any damage or claims related to site conditions, delivery, or pickup. If delivery or pickup is unsafe or the site is unsuitable, Lessee agrees to pay all handling fees, delivery charges, and one (1) month’s rental as liquidated damages.
c. Fees and Liens – Lessee is responsible for all taxes, fees, permits, and charges related to the premises where the equipment is placed. Lessee must prevent liens on the equipment and will indemnify STG Freight Services Inc. for any loss resulting from failure to do so.
d. Compliance with Laws – Lessee shall comply with all applicable local, state, and federal laws, permits, and regulations regarding the equipment’s use and location. Failure to comply is a default and may result in penalties under this Agreement.
INSURANCE
a. Lessee’s Insurance Obligation – Lessee shall maintain, at its own expense, property insurance covering the equipment for 100% of its Replacement Value, along with third-party liability insurance acceptable to STG Freight Services Inc. The Company must be named as an additional insured and loss payee. Proof of insurance shall be provided upon request and maintained until the equipment is returned.
b. Lessee’s Property Disclaimer – Lessee acknowledges that STG Freight Services Inc. does not insure or cover any loss or damage to Lessee’s property stored in the equipment. Lessee waives all claims against the Company for such loss or damage and agrees to inspect the equipment regularly. Any damage or defect arising after delivery is the sole responsibility of the Lessee. Lessee agrees to hold STG Freight Services Inc. harmless from any related claims or losses.
ASSIGNMENT & SUBLETTING
Lessee may not assign, sublet, or grant any rights to use the equipment without prior written consent from STG Freight Services Inc. Any unauthorized assignment or sublease is void and may result in termination of this Agreement at the Company’s discretion. Approved assignees or sub-lessees must submit an application, provide payment details, and sign a separate agreement. Consent to one assignment or sublease does not waive Lessee’s obligations or apply to future transfers.
